VisionFund Rwanda (VFR) is one of the largest deposit-taking Microfinance Institutions (MFIs) in Rwanda with a mission to provide financial and non-financial services to underprivileged rural communities. VFR is a subsidiary of VisionFund International and began in 1997 as a World Vision microfinance program, and in 2004 became a Central Bank regulated MFI in Rwanda.We provide microfinance products to empower the clients we serve, primarily vulnerable women with children and youth in rural areas. Our products provide financial services to strengthen Village Savings and Loans Associations (VSLAs) and groups. Our average loan size is US $235. Strategically, we are one of the biggest partners with World Vision Rwanda and Care International in Rwanda.Our savings products include educational savings accounts for children and we are developing financial products targeting youth. VisionFund Rwanda’s eight branches serve the entire country. Ninety percent of our field officers' work is spent in rural areas meeting potential clients and groups. The introduction of digital solutions allows our loan officers to provide better access to financial services for our most remote clients.

Legal and Company Secretary

Reporting to: Chief Executive Officer

Work location: Head Office

The legal and Company Secretary will help to make sure that VFR complies with all legal and regulatory requirements. S/he will deliver legal advice, draft and evaluate contracts, oversee litigation risks, and ensure compliance with financial Laws and regulations.

Major responsibilities

  1. To advise members of the Board of Directors on their responsibilities and powers.
  2. To inform members of the Board of Directors about all the necessary regulations or those which may affect the meetings of shareholders and of the Board of Directors, reports thereof and submission of all company documents required by the law to relevant organs as well as consequences due to the failure to comply with such regulations.
  3. To make sure that minutes of the meetings of shareholders or the Board of Directors are well prepared and that registers provided for by the articles of association are accurately kept.
  4. To make sure annual balance sheet and other types of required documents are submitted to the Registrar General as provided for by Law.
  5. To make sure that copies of annual balance sheet and activity reports are transmitted to relevant destinations in accordance with this Law and to any person as provided by Law
  6. Advise management to ensure compliance with local and international Laws
  7. Assess, recommend and execute improvements to the Bank’s legal procedures
  8. Draft, negotiate and evaluate all the Bank’s legal agreements and advice Management regarding the implications for VisionFund Rwanda PLC, and any actions required by the Bank.
  9. Communicating with Management and Branch Managers on actions required to ensure legal compliance.
  10. Establish record keeping and tracking systems and deliver reports to Management on the status of legal activities.
  11. Follow up of Board and Shareholder resolutions.
  12. Ensure disputes are resolved in a manner that safeguards Company’s position and in compliance with applicable legislation.
  13. Brief and track external counsel to ensure legal representation is effective.
  14. create effective working relationships with key user departments to ensure their needs are understood and appropriate solutions developed that assist business needs.
  15. deliver legal counselling so as to ensure legal problems and risks are identified and dealt with before they emerge as significant.
  16. Other tasks that may be assigned by the position applicable professional hierarchy from time to time.

Qualification and Experience

Bachelor Degree in law with 3 years’ experience in related field in a financials institutions
